Abstract
Abstract Considers, with reference to the UK, the mechanisms for controlling directors during times of economic difficulty. Evaluates possible methods of control: (1) by appointment and selection; (2) through effective contract drafting, including the roles of short-term contracts and incentivised bonuses; and (3) by the possible dismissal of directors. Discusses the role which stakeholders should play in controlling directors, and considers how the existing control mechanisms might be improved.
